PART A – TERMS AND CONDITIONS 條款及條件
These Terms and Conditions (the “Terms”) govern participation in the HKQAA Data Assurance Program (the “Program”) administered by the Hong Kong Quality Assurance Agency (“HKQAA”). By participating in the Program and/or submitting any data, the participant (the “Participant”) agrees to be legally bound by these Terms.
本條款及條件（「本條款」）規管參與由香港品質保證局（「HKQAA」）管理的香港品質保證局數據保證計劃（「本計劃」）的相關事宜。參與本計劃及／或提交任何數據，即表示參與者（「參與者」）同意受本條款的法律約束。
1. Definitions 定義
For the purposes of these Terms, “ESG Data” means all environmental, social and governance data submitted by or on behalf of the Participant, including both mandatory and optional indicators. “Personal Data” shall have the meaning ascribed under applicable data protection laws. “System” means the ESG data collection, management, and reporting platform operated by HKQAA. “Reporting Period” means the period from 1 January to 31 December of each year, or such prorated period as may apply. “Site” means any operational unit or location under the Participant for which ESG Data is reported.
就本條款而言，「ESG 數據」指由參與者或代表參與者提交的所有環境、社會及管治數據，包括強制性及選擇性指標。「個人資料」應具有適用資料保護法律所賦予的涵義。「系統」指由 HKQAA 營運的 ESG 數據收集、管理及報告平台。「報告期間」指每年 1 月 1 日至 12 月 31 日期間，或可能適用的按比例計算期間。「場地」指參與者轄下任何就其 ESG 數據作出報告的營運單位或地點。
2. Scope of the Program 計劃範圍
The Program provides a structured, governance-driven platform for the collection, validation, quality assurance, and reporting of ESG Data, including a multi-site reporting structure enabling site-level data submission and organisational aggregation. Participation is conditional upon full compliance with all requirements prescribed by HKQAA.
本計劃提供一個具結構性並以管治為導向的平台，用於 ESG 數據的收集、驗證、質量保證及報告，包括多場地報告架構，以支援場地層面的數據提交及機構層面的匯總。參與本計劃須以完全遵守 HKQAA 所訂明的所有要求為條件。
3. Participant Obligations 參與者義務
The Participant shall ensure that all ESG Data submitted is complete, accurate, and not misleading, and shall comply with all applicable methodologies, reporting requirements, and system rules. The Participant shall maintain adequate internal controls and retain sufficient supporting documentation for verification purposes. The Participant shall cooperate fully with any review, audit, or verification activities conducted by or on behalf of HKQAA.
參與者須確保所提交的所有 ESG 數據均屬完整、準確且不具誤導性，並須遵守所有適用的方法、報告要求及系統規則。參與者須維持充分的內部監控，並保留足夠的佐證文件，以供核證之用。參與者須全面配合由 HKQAA 或代表 HKQAA 進行的任何審查、審計或核證活動。
4. Warranties and Representations 保證及聲明
The Participant represents and warrants, on a continuing basis, that all ESG Data submitted is true, accurate, complete, and not misleading in any material respect. The Participant further represents and warrants that it has obtained all necessary rights, authorisations, and consents to submit such ESG Data and Personal Data and to permit their collection, use, processing, and disclosure under these Terms. The Participant further warrants that the submission of ESG Data does not infringe any applicable law, regulation, or third-party rights.
參與者持續聲明並保證，所提交的所有 ESG 數據在任何重大方面均屬真實、準確、完整且不具誤導性。參與者進一步聲明並保證，其已取得提交該等 ESG 數據及個人資料所需的一切權利、授權及同意，並允許根據本條款收集、使用、處理及披露該等資料。參與者亦進一步保證，提交 ESG 數據並不違反任何適用法律、法規或第三方權利。
5. Data Submission and Reporting 數據提交及報告
The Participant shall submit ESG Data on a monthly basis with a maximum permitted submission lag of three months from the relevant reporting month. All ESG Data for a Reporting Period shall be finalised no later than 30 June of the following year. Scope 2 electricity consumption and associated emissions shall be mandatory, while other ESG indicators may be reported on a voluntary basis in accordance with Program requirements.
參與者須按月提交 ESG 數據，且自相關報告月份起計，最長允許提交滯後期為三個月。某一報告期間的所有 ESG 數據須不遲於翌年 6 月 30 日完成定稿。範圍二電力消耗及相關排放數據屬強制性提交項目，而其他 ESG 指標則可根據本計劃要求以自願方式報告。
6. Data Access, Amendment, and Locking 數據存取、修訂及鎖定
ESG Data may be edited until the applicable lock-in date, after which such data shall be deemed final. Any amendment after such date shall require prior approval from HKQAA and shall be recorded in an appropriate audit trail. HKQAA reserves the right to impose access controls and restrictions as necessary to preserve data integrity and auditability.
ESG 數據可於適用的鎖定日期前進行編輯；於該日期後，有關數據將被視為最終數據。任何於該日期後作出的修訂，均須事先獲得 HKQAA 批准，並須記錄於適當的審計追蹤紀錄內。HKQAA 保留在有需要時施加存取控制及限制的權利，以維護數據完整性及可審計性。
7. Data Submission Methods 數據提交方式
The System may support submission of ESG Data by manual entry, bulk upload, or automated integration where applicable. The Participant shall ensure that all data is submitted in accordance with prescribed formats and specifications.
在適用情況下，系統可支援透過手動輸入、批量上載或自動化整合方式提交 ESG 數據。參與者須確保所有數據均按照指定格式及規格提交。
8. Data Usage and Disclosure 數據使用及披露
HKQAA shall process ESG Data and Personal Data in accordance with the consent provided under Part B. ESG Data may be used for the purposes of programme administration, reporting, benchmarking, research, and publication, subject to applicable consent and confidentiality controls.
HKQAA 須按照 B 部分所提供的同意處理 ESG 數據及個人資料。在受適用同意及保密控制規限的情況下，ESG 數據可用於計劃管理、報告、基準比較、研究及發布等目的。
9. Data Confidentiality and Protection 數據保密及保護
HKQAA shall implement appropriate technical and organisational measures to safeguard ESG Data and Personal Data against unauthorised access, disclosure, or misuse, and shall process such data in accordance with applicable legal and regulatory requirements.
HKQAA 須採取適當的技術及組織措施，以保障 ESG 數據及個人資料免遭未經授權的存取、披露或濫用，並須按照適用法律及監管要求處理該等數據。
10. Quality Assurance and Verification 質量保證及核證
ESG Data may be subject to risk-based quality assurance procedures, including validation checks, outlier detection, benchmarking, and documentary verification. The Participant shall cooperate fully with such processes and shall rectify or justify any discrepancies identified in accordance with HKQAA requirements.
ESG 數據可能須接受以風險為本的質量保證程序，包括驗證檢查、異常值偵測、基準比較及文件核證。參與者須全面配合該等程序，並須根據 HKQAA 的要求糾正或解釋任何所發現的差異。
11. Reporting and Publication 報告及發布
HKQAA may generate programme-level and annual reports based on validated ESG Data. HKQAA reserves the right to publish aggregated or anonymised ESG Data for research, benchmarking, and public communication purposes, subject to applicable consent restrictions.
HKQAA 可根據經驗證的 ESG 數據編製計劃層面及年度報告。HKQAA 保留為研究、基準比較及公眾溝通目的而發布經匯總或匿名化 ESG 數據的權利，惟須受適用的同意限制所規限。
12. Data Retention 數據保留
ESG Data and Personal Data shall be retained for such period as may be necessary to fulfil the purposes of the Program, including reporting, verification, research, and compliance with legal and regulatory requirements.
ESG 數據及個人資料須於為達成本計劃目的所需的期間內予以保留，包括報告、核證、研究，以及遵守法律及監管要求。
13. Indemnity 彌償
The Participant shall indemnify, defend, and hold harmless HKQAA, its officers, employees, agents, and affiliates from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses, including legal costs on a full indemnity basis, arising out of or in connection with any breach of these Terms, any inaccuracy, omission, or misrepresentation in ESG Data, or any failure to comply with applicable laws or regulations. Such indemnity shall survive termination or cessation of participation in the Program.
參與者須就因以下事項所引起或與之相關的任何及所有申索、要求、責任、損害賠償、損失、成本及開支，包括按完全彌償基準計算的法律費用，向 HKQAA、其高級人員、僱員、代理人及關聯方作出彌償、抗辯並使其免受損害：任何違反本條款的行為；ESG 數據中的任何不準確、遺漏或失實陳述；或任何未能遵守適用法律或法規的情況。該等彌償責任在參與本計劃終止或停止後仍繼續有效。
14. Limitation of Liability 責任限制
To the fullest extent permitted by applicable law, HKQAA shall not be liable for any indirect, incidental, or consequential loss or damage arising from participation in the Program or reliance on ESG Data or Program outputs. HKQAA shall not be responsible for any inaccuracies attributable to the Participant.
在適用法律允許的最大範圍內，HKQAA 毋須就因參與本計劃，或依賴 ESG 數據或本計劃成果而引起的任何間接、附帶或後果性損失或損害承擔責任。HKQAA 亦毋須對任何可歸因於參與者的不準確資料負責。
15. Suspension and Termination 暫停及終止
HKQAA reserves the right to suspend or terminate the Participant’s participation in the Program in the event of non-compliance with these Terms, submission of false or misleading data, or failure to cooperate with verification processes. ESG Data previously submitted may continue to be used in aggregated or anonymised form.
如參與者不遵守本條款、提交虛假或具誤導性的數據，或未能配合核證程序，HKQAA 保留暫停或終止參與者參與本計劃的權利。先前已提交的 ESG 數據可繼續以匯總或匿名化形式使用。
16. Amendments 修訂
HKQAA reserves the right to amend these Terms at any time, and any such amendments shall take effect upon notification or publication. Continued participation in the Program shall constitute acceptance of the amended Terms.
HKQAA 保留隨時修訂本條款的權利，而任何該等修訂將於通知或發布後生效。參與者繼續參與本計劃，即構成對經修訂條款的接受。
17. Governing Law and Jurisdiction 管轄法律及司法管轄權
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, and any dispute arising shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
本條款受香港特別行政區法律管轄，並須按其解釋；任何由此產生的爭議，均須受香港法院的專屬司法管轄權管轄。
18. Acceptance 接受
Participation in the Program and/or submission of ESG Data constitutes full and binding acceptance of these Terms.
參與本計劃及／或提交 ESG 數據，即表示參與者全面並具約束力地接受本條款。
